Agreement
These Terms of Use (“Terms”) govern your access to and use of the website upadrishta.com and any enquiry, demo booking, or other request you make through it.
The site is operated by Upadrishta Enterprises (OPC) Private Limited (“Upadrishta”, “we”, “us”). By using the site or submitting a request, you accept these Terms. If you do not agree, do not use the site.

Who we are
Upadrishta operates three lines of business: AV Pro Sound (authorised distribution of DX Sound systems), Agro (farm-direct produce from SiviSakthi farms), and IT (websites, business software, and related services).
Nothing on this site creates a partnership, joint venture, or agency with you, with DX Sound, or with any other brand we mention.

Using this website
You may use the site only for lawful purposes and only to learn about our businesses or to contact us. We may change, suspend, or withdraw any part of the site at any time, without notice and without liability.
We do not promise that the site will be available, uninterrupted, or free of errors or harmful code. Use of the site is at your own risk.

Information on this site
Content on this site is for general information only. Descriptions of products, systems, produce, services, prices, specifications, and availability are indicative. They are not an offer, quotation, or commitment to sell or supply.
We may update or correct content at any time. Images, layouts, and examples are illustrative. Actual goods, installations, harvests, and deliverables may differ.

Intellectual property
The site design, text, graphics, logos, and other original material belong to Upadrishta or our licensors. You may not copy, scrape, republish, or commercially reuse them without our prior written consent, except for ordinary viewing of the site.
DX Sound and other third-party names, marks, and product designations remain the property of their owners. Mention of them does not imply endorsement of us by those owners beyond any authorised-distributor relationship we state.

Enquiries and demo bookings
A demo booking is a request for a listening session. It is not a sale, reservation of stock, or a contract to supply or install a system. By booking, you agree that we may contact you about that booking by phone, email, or WhatsApp. You are responsible for the accuracy of the details you submit. We may record the version of these Terms you accepted.
- A booking is a request. We may reschedule or cancel any session — even after confirming it — and accept no liability for costs you incur.
- Your slot is held for 10 minutes; arriving later may mean a shortened or rescheduled session.
- A demo is for illustration only — not an offer, quotation or commitment on price, specification, stock or delivery.
- Sessions involve high sound levels. Tell us of any hearing sensitivity; children must be accompanied and equipment not handled by visitors.
- Your details are used only to arrange your demo and are never shared.

AV Pro Sound
We supply and, where agreed, install DX Sound systems as an authorised distributor. Manufacturer specifications and warranties apply as issued by the manufacturer. We do not enlarge those warranties unless we say so in a written contract with you.
Site conditions, power, acoustics, mounting, and civil or electrical work are your responsibility unless a written agreement says otherwise. We may decline to install if the site is unsuitable or unsafe.
Title, risk, delivery, payment, cancellation, and after-sales terms for a purchase are those in our written confirmation or invoice. Until then, nothing on this site or said at a demo binds us to a price, configuration, or delivery date.

Agro
Produce is natural, seasonal, and finite. Variety, size, appearance, and availability will vary. We do not guarantee continuous supply of any item.
Any sale of produce is subject to harvest, quality checks, and our acceptance of the order. Perishable goods should be inspected on receipt. Tell us promptly if something is wrong; delayed complaints may not be accepted.

IT
IT services described on this site are indicative and may be listed as launching or limited. We owe no service, timeline, or service level unless a separate written agreement says so.
Until such an agreement is signed, discussions, estimates, and website copy are not a commitment to build, host, support, or maintain anything.

Your information
If you send us personal details, you confirm they are yours to share and are accurate. Details you give when booking a demo are used only to arrange that demo and are never shared with third parties for advertising. Other enquiries are used to respond to you. Marketing messages are sent only if you separately opt in. How we collect and use personal information is set out in our Privacy Policy.
Do not submit confidential business information through the public forms unless you are content for us to handle it as ordinary correspondence.

Acceptable use
You must not misuse the site, attempt to disrupt it, submit false or automated requests, or use it to send unlawful, harmful, or misleading content. We may block access or discard requests without notice if we believe these Terms have been broken.

No warranties
To the fullest extent permitted by law, the site and its content are provided as they are, without warranties of any kind, whether express or implied — including fitness for a particular purpose, merchantability, non-infringement, and accuracy.
Nothing on the site is professional, legal, or technical advice on which you should rely without checking with us in writing.

Our liability
To the fullest extent permitted by law, Upadrishta is not liable for any indirect, incidental, special, consequential, or punitive loss, or for loss of profit, business, data, goodwill, or anticipated savings, arising from the site or from an enquiry or demo.
Our total liability to you in connection with the site or a demo booking is limited to the amount you paid us (if any) for that specific matter, or one thousand Indian rupees, whichever is higher.
These limits do not apply to liability that Indian law does not allow us to exclude, including for fraud or for death or personal injury caused by our negligence. They do not replace any written contract that governs a later sale or service.

Indemnity
You will indemnify and hold Upadrishta harmless against claims, losses, and costs arising from your misuse of the site, your breach of these Terms, or information you submit that is untrue or that you were not entitled to provide.

Changes
We may revise these Terms at any time by posting an updated version on this page. The “effective” date will change when we do. Continued use of the site after a change means you accept the new Terms.
For a demo booking, the Terms version recorded at the time you accepted them is the version that applies to that booking.

Governing law
These Terms are governed by the laws of India. The courts at Coimbatore, Tamil Nadu, have exclusive jurisdiction over any dispute arising from these Terms or from your use of the site, subject to any mandatory rights you may have as a consumer under Indian law.
